Company Secretarial

The statutory paperwork every limited company owes Companies House — filed correctly, on time, without you having to learn the rules.

The short version

What this actually means

Running a limited company comes with obligations that have nothing to do with tax and nothing to do with running the business. Filings are due whether or not you traded, whether or not you made money, and the penalties for missing them are automatic.

None of it is difficult once you know the system. The problem is that it is easy to forget, the deadlines do not move, and Companies House does not send helpful reminders.

We hold the calendar and file on your behalf, so the first you hear of a deadline is us telling you it has been dealt with.

Included

What you get

  • Company formation — incorporation, share structure and the registers you are required to keep from day one
  • Confirmation statements — the annual filing confirming your company details, prepared and submitted
  • Companies House identity verification — directors and people with significant control now have to verify their identity, and we can carry it out for you
  • Dormant company accounts — a company that has not traded still has to file, and we keep that simple and inexpensive
  • Accountant's letters — the reference letters lenders, landlords and mortgage brokers ask for, usually at short notice
  • Registered office and statutory registers kept current
  • Changes filed — appointments, resignations, share issues, address and name changes

Right fit?

Who this is for

  • New companies that want the incorporation done properly rather than through a £12 website that leaves the share structure wrong
  • Established companies that would rather not track Companies House deadlines themselves
  • Dormant companies being held for a name, a future plan, or a wound-down trade
  • Directors needing identity verification and wanting it done once, properly
  • Anyone who has been asked for an accountant's letter and needs it this week

Questions

Common questions

What is Companies House identity verification?
Companies House now requires directors and people with significant control to verify their identity, as part of measures to improve the reliability of the register. It can be done directly with Companies House or through an authorised agent. We can handle it for you — and if you would rather do it yourself, we will tell you that plainly rather than charge for it.
My company is dormant. Do I still have to file anything?
Yes — dormant companies still owe Companies House dormant accounts and a confirmation statement each year, and usually a notification to HMRC. It is a small job, but skipping it leads to penalties and eventually to the company being struck off.
What happens if I miss a confirmation statement?
Companies House can begin the process of striking the company off the register, which is considerably more disruptive than the filing would have been. If you are already overdue, tell us — it is usually straightforward to put right at this stage.
Can you provide a letter for my mortgage application?
Yes. Lenders and brokers often ask an accountant to confirm income or trading history. Give us as much notice as you can and tell us exactly what the lender has asked for, since the wording they require varies.
Can you form a company for me?
Yes, including getting the share structure right at the outset. That matters more than people expect — fixing an unsuitable share structure later is far more work than setting it up correctly on day one.
